Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of BlueHill's website, applications, and services (the “Services”). By creating an account or using the Services, you agree to these Terms. If you are using BlueHill on behalf of an organization, you agree on its behalf and represent that you have authority to do so.

1. The Services

BlueHill provides a customer operations platform for ticketing, onboarding, project management, scheduling, and client portals, available at app.usebluehill.com and related sites. We may add, change, or remove features over time. We will not materially reduce the core functionality of a paid plan during your subscription term without notice.

2. Accounts and eligibility

You must provide accurate information when you register and keep it up to date. You are responsible for safeguarding your account credentials and for all activity under your account. Notify us promptly at support@usebluehill.com if you suspect unauthorized use. You must be at least 16 years old and able to form a binding contract to use the Services.

3. Acceptable use

You agree not to, and not to allow others to:

  • Use the Services in violation of any law or third-party rights;
  • Upload malware or attempt to disrupt, overload, or compromise the Services or their security;
  • Reverse engineer, scrape, or access the Services to build a competing product, except as permitted by law;
  • Use the Services to send spam or unsolicited messages, or to harass others;
  • Resell or sublicense the Services without our written permission; or
  • Access or use another user's data without authorization.

4. Your content and data

You retain all rights to the content and data you submit to the Services (“Your Content”). You grant BlueHill a limited license to host, process, and transmit Your Content solely to provide and improve the Services and as directed by you. You are responsible for Your Content and for having the necessary rights and consents to use it with the Services. Our handling of personal information is described in our Privacy Policy.

5. Third-party integrations

The Services let you connect third-party products such as Zoom and Google. Your use of those products is governed by their own terms and privacy policies, and BlueHill is not responsible for them. By connecting an integration, you authorize BlueHill to access and exchange data with that service as needed to provide the feature. You can disconnect an integration at any time from its settings.

6. Subscriptions, fees, and billing

Paid plans are billed in advance on a recurring basis (monthly or annually) according to the plan you select. Unless stated otherwise, subscriptions renew automatically until cancelled. You authorize us to charge your payment method for applicable fees and taxes.

  • Free trials, where offered, convert to a paid plan at the end of the trial unless you cancel beforehand;
  • Fees are non-refundable except where required by law or expressly stated;
  • You can cancel at any time; cancellation takes effect at the end of the current billing period; and
  • We may change pricing on renewal with advance notice.

7. Intellectual property

The Services, including all software, design, and content provided by BlueHill (excluding Your Content), are owned by BlueHill and its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Services during your subscription, subject to these Terms. All rights not expressly granted are reserved. “BlueHill” and our logos are our trademarks; you may not use them without permission.

8. Disclaimers

The Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or completely secure.

9. Limitation of liability

To the maximum extent permitted by law, BlueHill and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill. Our total liability for any claim arising out of or relating to the Services will not exceed the amount you paid us for the Services in the twelve months before the event giving rise to the claim.

10. Indemnification

You agree to indemnify and hold BlueHill harmless from any claims, damages, and expenses (including reasonable legal fees) arising out of your use of the Services, Your Content, or your violation of these Terms or applicable law.

11. Termination

You may stop using the Services and close your account at any time. We may suspend or terminate your access if you breach these Terms, fail to pay fees, or use the Services in a way that risks harm to BlueHill or others. Upon termination, your right to use the Services ends. We will make Your Content available for export for a reasonable period unless prohibited by law, after which it may be deleted.

12. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, notify you through the Services. Your continued use of the Services after an update means you accept the revised Terms.

13. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of laws rules. Any disputes will be resolved in the state or federal courts located in Delaware, and you consent to their jurisdiction, except where applicable law provides otherwise.
